Job Description
REQUIREMENTS
Experience
- Minimum 8–12 years of post-qualification legal experience.
- Minimum 5 years of UAE experience in corporate and commercial law.
- Prior experience working as in-house legal counsel for a holding company, investment company or diversified business group is highly preferred.
- Experience advising on corporate governance, investments, commercial contracts and real estate matters.
Educational Qualifications
- Bachelor’s Degree in Law (LLB) is mandatory.
- Master’s Degree in Law (LLM) will be an advantage.
- Admission to practice law in home jurisdiction is preferred.
Technical Knowledge
Strong knowledge of:
- UAE Commercial Companies Law
- UAE Commercial Transactions Law
- UAE Civil Transactions Law
- UAE Labour Law
- Real Estate Law
- Contract Drafting & Negotiation
- Regulatory Compliance
Language Requirements
- Fluent in English and Persian (Farsi) — both written and spoken (Mandatory).
- Arabic will be considered an advantage.

RESPONSIBILITES
- Provide legal advice to the Holding Company and its subsidiaries on corporate and commercial matters.
- Draft, review and negotiate commercial contracts, shareholder agreements, joint venture agreements, investment agreements, NDAs, service agreements, lease agreements and other legal documentation.
- Advise management on UAE Commercial Companies Law, Civil Transactions Law, Commercial Transactions Law, Labour Law and other applicable UAE legislation.
- Support corporate restructuring, acquisitions, divestments and investment transactions.
- Coordinate Board and shareholder resolutions and maintain statutory corporate records where required.
- Liaise with external legal counsel on litigation, arbitration and specialized legal matters.
- Review legal risks associated with new business ventures, investments and strategic transactions.
- Provide legal support for real estate acquisitions, leasing arrangements and investment properties.
- Assist management in dispute resolution and settlement negotiations.
- Monitor changes in UAE laws and regulations and advise management on their impact.
- Coordinate with government authorities, regulatory bodies and free zone authorities where required.
- Ensure legal compliance across the Group’s businesses.
- Perform any other duties assigned by management.
