Commercial Transactional Attorney
Job Description
REQUIREMENTS
- Juris Doctor (JD) degree from an accredited law school with active bar admission in relevant jurisdiction.
- Proven experience in transactional law with a focus on commercial agreements; prior exposure to estate planning, environmental law, or securities law is a plus.
- Strong negotiation skills demonstrated through successful contract drafting and deal-making.
- Proficiency in legal research platforms such as LexisNexis and Westlaw; familiarity with legal writing and drafting is essential.
- Excellent analytical skills combined with the ability to interpret complex legal issues accurately.
- Prior experience working in a law office environment or corporate legal department preferred.
- Demonstrated ability to manage multiple projects efficiently while maintaining attention to detail.
RESPONSIBILITIES
- Draft, review, and negotiate a wide variety of commercial contracts including purchase agreements, licensing arrangements, service agreements, and vendor contracts.
- Provide legal advice on transactional matters related to estate planning, environmental law, securities law, and other specialized areas as needed.
- Conduct thorough legal research utilizing tools such as LexisNexis and Westlaw to stay informed on relevant laws, regulations, and industry standards.
- Assist with compliance issues related to landlord-tenant law, family law, tribal law & regulations, immigration law, and workers’ compensation law.
- Collaborate with internal teams to identify legal risks and develop strategies to mitigate potential liabilities.
- Support litigation processes by preparing legal documentation and coordinating with external counsel when necessary.
- Maintain organized records of all legal documents and correspondence in accordance with firm policies.
