Senior Corporate Paralegal

Job Description

REQUIREMENTS

• 6+ years of corporate paralegal experience at a law firm or sophisticated legal environment (not someone who is “super green”)
• Hands-on experience with venture/emerging company transactions — SAFEs, priced rounds, cap tables, and equity documentation
• Ability to work independently with high autonomy and minimal instruction — scrappy and entrepreneurial mindset
• Strong corporate governance skills including entity formation, maintenance, and filings
• Comfortable managing multiple matters simultaneously in a fast-paced, lean team environment

RESPONSIBILITIES

• Owning corporate filings, entity management, and governance workflows across multiple client entities
• Coordinating and managing closings for venture financings (SAFEs, convertible notes, priced rounds) including signature packages and cap table maintenance
• Designing and improving internal processes, closing checklists, and precedent libraries
• Serving as a trusted coordination point between attorneys, clients, and counterparties
• Eventually expanding to support funds and debt closings as the role grows
